1. About These Terms

These Terms of Service (“Terms”) govern access to and use of the Universe Force Gaming website, microsites, landing pages, forms, booking pages, downloadable materials, and other online resources that link to these Terms (collectively, the “Website”). The Website is operated by UNIVERSE FORCE GROUP DOO BEOGRAD, a Serbian limited liability company, trading through the Universe Force Gaming brand.

These Terms apply to all visitors, users, and organisations that access or use the Website. By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Website on behalf of a company, operator, affiliate, vendor, investor, regulator, or other entity, you represent that you have authority to bind that entity to these Terms.

Where these Terms refer to “Universe Force Gaming”, they refer to the brand, website, and business activities operated by or on behalf of UNIVERSE FORCE GROUP DOO BEOGRAD, unless expressly stated otherwise.

3. Nature of the Website and B2B Scope

The Website is provided for lawful informational, business development, brand, recruitment, communications, and pre-contractual purposes. It is intended primarily for business users and professional counterparties in the iGaming, betting, software, payments, compliance, and related sectors.

The Website does not itself provide player-facing gambling, betting, wallet, payment, gaming, or custodial services to end users. Universe Force Gaming is a B2B technology provider. Any reference on the Website to casino platforms, sportsbook platforms, payments, AI, licensing, compliance, or integrations is descriptive of business capabilities and not an offer of direct consumer gambling services.

If you are an end user, player, bettor, or customer of a third-party operator that uses software, integrations, or services developed, licensed, or supported by UFG, your legal relationship is with that operator or relevant service provider, not with UFG, unless UFG is expressly identified in a separate written agreement as the contracting party for a particular service.

4. Eligibility and Acceptable Use

You may use the Website only if you are legally capable of entering into binding obligations under applicable law and you use the Website solely for lawful purposes. You must not:

  • use the Website in violation of any applicable law, regulation, sanctions regime, export-control rule, anti-money laundering requirement, gambling law, advertising rule, or third-party right;
  • access or use the Website for any fraudulent, deceptive, abusive, defamatory, infringing, unlawful, or harmful purpose;
  • attempt to gain unauthorised access to the Website, servers, accounts, networks, APIs, forms, or connected systems;
  • interfere with or disrupt the integrity, performance, or security of the Website;
  • reverse engineer, scrape, crawl, harvest, mirror, index, frame, or data-mine the Website or its content by automated or manual means except as expressly allowed by law or by our prior written consent;
  • upload, transmit, or submit viruses, malware, ransomware, spyware, malicious code, or any material that may disable, overburden, or impair the Website;

  • use the Website to solicit UFG personnel, contractors, or clients in a manner inconsistent with good-faith commercial conduct; or
  • use the Website in any way that could expose UFG or its affiliates to regulatory, reputational, security, or compliance risk.

We may investigate suspected misuse and may suspend, block, or preserve evidence relating to access or use of the Website where reasonably necessary to protect UFG, users, counterparties, or the public.

5. No Gambling Operation; No Player Relationship

Universe Force Gaming does not hold itself out through the Website as the operator of any player-facing gambling platform unless expressly stated otherwise in a separate written legal notice for a specific platform. The Website markets B2B technology, software development, systems integration, product strategy, AI/data services, and related advisory or implementation support.

Nothing on the Website constitutes:

  • (a) an offer to accept bets or wagers from the public;
  • (b) a player account agreement;
  • (c) a custody or safekeeping undertaking in respect of player funds;
  • (d) a guarantee that any client, operator, or prospect will obtain or maintain a licence in any jurisdiction; or
  • (e) legal, tax, regulatory, compliance, AML, KYC, accounting, audit, or financial advice.

Any operator, affiliate, or client remains solely responsible for its own licensing position, market-entry strategy, player terms, AML/KYC framework, consumer disclosures, tax obligations, payment compliance, marketing compliance, geoblocking, responsible gambling controls, and all other local-law obligations unless a separate signed written agreement expressly allocates defined responsibilities to UFG.

6. Informational Content; No Reliance; Forward-Looking Statements

The Website and all content made available through it are provided for general informational and promotional purposes only. While we aim to present accurate and current information, the Website may contain typographical errors, omissions, outdated information, aspirational statements, development roadmaps, future-oriented statements, performance claims, integration examples, estimated delivery windows, technical assumptions, or references to products, modules, and jurisdictions that are subject to change.

You must not rely on Website content as a substitute for independent legal, technical, security, financial, operational, or regulatory advice. Any statement concerning expected deployment periods, source-code transfer, integrations, compliance support, licensing support, pricing philosophy, or commercial structure is illustrative and non-binding unless expressly included in a definitive written agreement signed by authorised representatives of UFG.

7. No Contract Formation Through the Website

Your use of the Website, submission of an inquiry, downloading of materials, booking of a meeting, or exchange of preliminary communications with UFG does not by itself create any partnership, agency, fiduciary, employment, joint-venture, exclusivity, reseller, supplier, professional-adviser, or service-provider relationship.

Unless and until a separate written agreement is executed by authorised representatives of the relevant parties, UFG is under no obligation to provide any services, reserve capacity, hold pricing, disclose proprietary information, perform deliverables, grant any licence, transfer any intellectual property, or refrain from working with other parties, including competitors of an inquiring party.

All statements of work, proposals, decks, roadmaps, solution outlines, budgets, estimates, pilot concepts, and technical discussions are non-binding unless expressly stated otherwise in a signed contract.

8. User Communications, Submissions, and Feedback

If you contact us through the Website, submit a form, book a meeting, email us, provide an RFP, share requirements, send demo data, upload materials, or otherwise communicate with us, you confirm that you have the right to provide that information and that doing so does not violate any confidentiality obligation, law, or third-party right.

Unless we have already signed a written confidentiality agreement with you that expressly covers the specific disclosure, information you submit through the Website should not be treated as confidential or legally privileged. UFG may use the information you provide for the purpose of assessing your inquiry, responding to you, preparing a proposal, conducting compliance checks, improving our services, or protecting our business.

If you provide suggestions, ideas, comments, product concepts, feature requests, or other feedback relating to the Website or our business, you grant UFG a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, test, evaluate, adapt, implement, commercialise, and otherwise exploit that feedback without restriction or compensation, subject always to our Privacy Policy and any mandatory rights that cannot be waived.

9. Intellectual Property Rights

The Website, and all content, software, source code fragments, text, graphics, trade names, logos, layouts, audio-visual materials, designs, documents, databases, taxonomies, know-how, compilations, user-interface elements, and other materials made available through it, are owned by or licensed to UFG and are protected by copyright, database, trademark, trade-secret, unfair-competition, and other applicable intellectual property laws.

Subject to these Terms, UFG grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Website solely for your own lawful internal business information purposes. You may not copy, reproduce, distribute, publish, display, modify, create derivative works from, sell, license, repurpose, or exploit any part of the Website except with our prior written consent or as permitted by mandatory law.

Universe Force Gaming, Universe Force Group, associated logos, slogans, and brand elements are our trademarks or trade dress, or those of our licensors. No right, title, or interest in any UFG intellectual property passes to you by virtue of Website access or use.

10. Third-Party Services and Links

The Website may include links to, embeds of, or integrations with third-party websites, booking tools, communication services, analytics providers, social platforms, payment providers, hosting environments, or other external resources. Such links and integrations are provided for convenience only.

UFG does not control and is not responsible for the content, availability, security, legality, privacy practices, terms, offerings, or performance of any third-party website or service. Accessing any third-party resource is entirely at your own risk and subject to the terms and policies of that third party.

A link to or reference to any third-party product, supplier, licensor, game studio, operator, PSP, CRM, data provider, regulator, or partner does not imply endorsement, exclusivity, certification, or a binding commercial relationship unless UFG expressly states so in writing.

11. Privacy, Cookies, and Electronic Communications

Our collection and processing of personal data through the Website are governed by our Privacy Policy. By using the Website, you acknowledge that your information may be processed in accordance with that policy.

The Website may use cookies and similar technologies for functionality, security, measurement, and user-experience purposes. Where required by applicable law, non-essential cookies or similar technologies will be used only on the basis of your consent.

13. Compliance, Sanctions, and Restricted Engagements

You must not use the Website or seek to engage UFG in connection with any activity that would cause UFG or its affiliates, personnel, or partners to breach applicable law, including sanctions laws, anti-bribery laws, anti-money laundering laws, counter-terrorist financing rules, export-control restrictions, or gambling prohibitions.

UFG may decline inquiries, terminate discussions, restrict access, require diligence information, or cease engagement at any stage where we reasonably consider a project, counterparty, jurisdiction, use case, ownership structure, funds flow, or proposed activity to present unacceptable legal, regulatory, sanctions, integrity, or reputational risk.

14. Disclaimers

To the maximum extent permitted by law, the Website is provided “as is” and “as available,” without warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, quiet enjoyment, compatibility, or results.

Without limiting the foregoing, UFG does not warrant that:

  • the Website will always be available, timely, secure, or error-free;
  • any defects will be corrected;

  • use of the Website will meet your commercial, regulatory, or technical expectations.

15. Limitation of Liability

To the fullest extent permitted by applicable law, UFG, its affiliates, shareholders, directors, officers, employees, contractors, advisers, licensors, service providers, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or reliance damages, or for any loss of profit, revenue, business opportunity, goodwill, data, use, reputation, contracts, or anticipated savings, arising out of or relating to the Website, these Terms, or your use of or inability to use the Website, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the aggregate liability of UFG arising out of or relating to the Website or these Terms shall not exceed the greater of: (a) EUR 100; or (b) the amount, if any, actually paid by you directly to UFG solely for the specific Website service giving rise to the claim during the three months immediately preceding the event giving rise to liability.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by law, including liability for fraud or wilful misconduct where applicable.

16. Indemnity

You agree to defend, indemnify, and hold harmless UFG and its affiliates, shareholders, directors, officers, employees, contractors, advisers, licensors, and representatives from and against any claims, demands, actions, proceedings, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms;
  • your misuse of the Website;
  • your violation of applicable law or third-party rights;
  • information, materials, or data you submit or make available to UFG;
  • your project, business model, or use case where UFG is asked to assess or support a regulated or high-risk activity; or
  • your negligent, fraudulent, deceptive, or unlawful acts or omissions.

17. Suspension, Blocking, and Termination

We may, without prior notice and without liability, suspend, block, filter, investigate, or terminate your access to all or part of the Website where we reasonably believe that you have breached these Terms, created risk, infringed rights, caused technical disruption, or where such action is otherwise necessary to protect UFG, our systems, our personnel, our users, or third parties.

Termination or suspension does not affect any accrued rights, remedies, disclaimers, limitations, confidentiality obligations, intellectual property protections, or other provisions that by their nature are intended to survive.

18. Governing Law and Jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by Laws of the Republic of Serbia, without regard to conflict-of-law rules. The courts of Belgrade, Republic of Serbia, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website, except where mandatory law gives a user the right to bring proceedings elsewhere.

If mandatory consumer or data protection laws in your jurisdiction provide rights that cannot be excluded by contract, those rights remain unaffected to that extent.

19. Changes to These Terms

We may amend these Terms from time to time to reflect operational, legal, regulatory, technical, or commercial developments. The updated version will become effective when posted on the Website or when otherwise communicated by us, unless a later effective date is stated.

Your continued use of the Website after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Website.
